These Terms and Conditions (“Terms”) govern your access to and use of Monitor360 (“Service”), provided by Softhealer Technologies Private Limited (“Softhealer”, “we”, or “us”). By accessing or using Monitor360, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • Customer/Client: The company, organization, or individual that purchases or subscribes to Monitor360.
  • User: Any individual who is given access to Monitor360 by the Customer (e.g., administrators, monitored employees).
  • You: Refers to both Customer and Users as applicable.
  • Data: Any information captured or stored through Monitor360, including screenshots, activity data, and provided company/user information.

2. Scope of Service

Monitor360 is a productivity monitoring and reporting platform that captures and stores screenshots of monitored devices at defined intervals. The Service provides tools for administrators to evaluate work activity and productivity for business use.

Monitor360 does not:

  • Record identifiable keystrokes
  • Capture audio or video
  • Access private device hardware (camera, microphone)
  • Track personal device activity outside of monitoring hours

The Customer is solely responsible for how monitoring is used within their organization.

3. Acceptable Use

You agree to use Monitor360 only for lawful, ethical, and authorized purposes.

You shall not:

  • Use the Service for surveillance of individuals without informed consent
  • Use Monitor360 for any illegal, deceptive, or abusive activities
  • Interfere with, disable, or attempt to bypass monitoring logic
  • Reverse-engineer, copy, resell, or redistribute the Service
  • Upload or transmit malware, spyware, or harmful code
  • Violate data protection or employment laws in applicable jurisdictions
3.1 Employee Monitoring Responsibility

Monitor360 is a tool. You, as the Customer, are the “Data Controller.”

You must comply with all legal obligations regarding monitoring, including:

  • Workplace privacy laws
  • GDPR/CCPA notifications
  • Employee consent or company monitoring policy

Softhealer does not take responsibility for misuse of monitoring software.

4. Subscription & Billing

Monitor360 is a subscription-based service.

4.1 Payments

Subscriptions may be billed monthly or annually. Payment is due in advance unless otherwise agreed.

4.2 Automatic Expiration & Non-Renewal

We will notify you 7 days before your subscription expires. If we do not receive a response or renewal payment, access to the platform will be disabled the day after the subscription expires. All recorded data will be permanently deleted 14 days after expiry if no renewal is made, except for the Customer’s basic contact information (company name, contact person, email, phone number, and address).

4.3 Refund Policy

All subscription fees are non-refundable, unless required by applicable law. Partial usage periods or non-usage are not grounds for refunds.

5. Data Ownership

  • Screenshots and captured data belong to the Customer.
  • Softhealer acts as a data processor/service provider.

We do not sell or share your data with third parties.

6. Data Retention

  • When a subscription expires, all screenshots and productivity data are deleted within 14 days. If subscription is renewed within 14 days, then the data will be retained.
  • The screenshots and productivity data will not be accessible after 12 months unless the data retention add-on is purchased.
  • Customer profile information (company name, user contact fields) may be retained for business/legal record purposes.

7. Privacy & Compliance

Monitor360 complies with GDPR and CCPA standards.

You acknowledge that:

  • You must inform and obtain consent where legally required.
  • Monitor360 may process employee data only for legitimate business purposes.

You agree to our Privacy Policy (published separately), which governs how we collect and handle personal data.

8. Service Availability & Modifications

We will use commercial-grade efforts to maintain uptime and service stability.

We may modify, update, suspend, or discontinue any feature at any time due to:

  • Security reasons
  • Maintenance
  • Technical limitations
  • Legal obligations

We are not liable for temporary downtime, interruptions, or data access delays.

9. Intellectual Property

All software, UI, design, brand names, logs, and associated technology remain the exclusive property of Softhealer Technologies Pvt. Ltd.

You are granted a limited, revocable, non-transferable license to use Monitor360 for your business.

You may not:

  • Copy or mirror the platform
  • Create derivative works
  • Claim proprietary rights over our source code or design
  • Remove product branding or copyright

10. Support & Maintenance

We provide reasonable technical and customer support.

Support does not include:

  • Custom development
  • Third-party integrations
  • Employee labor disputes
  • Legal compliance consultation

You are responsible for determining how you implement monitoring tools within your company.

11. Legal Liability & Disclaimer

Monitor360 is a monitoring tool.

Softhealer:

  • Does not guarantee specific productivity, business performance, or employee behavior
  • Does not provide legal monitoring advice
  • Is not responsible for data used illegally or without employee consent

You assume all legal risks associated with using monitoring technologies.

12. Limitation of Liability

To the fullest extent permitted by law:

Softhealer shall not be liable for:

  • Loss of profits
  • Business interruption
  • Loss of employee data
  • Misuse of monitoring
  • Unauthorized access to your account caused by weak passwords or negligence
  • Third-party claims arising from workplace disputes

Our cumulative liability is limited to the total amount paid by you in the preceding 12 months.

13. Account Security

You are responsible for:

  • Keeping your login credentials secure
  • Managing administrator privileges
  • Controlling who can access collected screenshots

We are not responsible for damage caused by unauthorized access due to customer negligence.

14. Termination

We may suspend or terminate access if:

  • You violate these Terms
  • Payment is not completed
  • We detect abusive or fraudulent activity
  • Legal authorities request enforcement

Termination does not exempt you from outstanding payments or damages.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India, specifically the jurisdiction of Rajkot, Gujarat.

Any dispute shall be resolved exclusively in courts located in Rajkot, Gujarat.

16. Changes to Terms

We may revise these Terms from time to time.

We will notify users of updates through:

  • Website announcements
  • Email notifications

Continued use of the Service indicates acceptance of updated Terms.
